Terms of Service

1. Acceptance of Terms

By registering for or using Private Referral ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms govern your use as a business owner or manager ("Business") accessing the platform at privatereferral.com.

2. Description of Service

Private Referral provides a digital word-of-mouth referral platform that allows local businesses to create and manage referral programs. The Platform enables existing customers to refer new customers, track referrals, and optionally send rewards via SMS. The Platform is currently offered free of charge.

3. Eligibility and Registration

• You must be the owner or authorized manager of the business you register.
• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your login (phone-based OTP).
• One account per business location. Multiple locations require separate accounts.

4. Acceptable Use

You agree not to use the Platform to:

• Register a business you do not own or have authority to represent
• Send unsolicited or spam SMS messages to customers
• Upload images that are offensive, misleading, or infringe third-party rights
• Manipulate referral counts or rewards fraudulently
• Violate any applicable law or regulation, including Canada's Anti-Spam Legislation (CASL)

5. SMS and Customer Communications

By using the Platform, you acknowledge that SMS messages will be sent to your customers' mobile numbers on your behalf when they receive referral cards or reward notifications. You represent that you have obtained or will obtain appropriate consent from your customers to receive such messages, in compliance with CASL and applicable telecommunications regulations.

Private Referral is not responsible for SMS delivery failures due to carrier restrictions, invalid numbers, or customer opt-outs.

6. Content and Images

You retain ownership of any photos or content you upload to the Platform. By uploading content, you grant Private Referral a non-exclusive, royalty-free licence to display that content as part of your referral page and card. You represent that you have the right to upload and use all content you submit.

7. Rewards Program

The rewards feature is optional. If you choose to offer rewards, you are solely responsible for honouring the rewards communicated to your customers. Private Referral facilitates the notification only and is not a party to any reward obligation between you and your customers.

8. Availability and Changes

We reserve the right to modify, suspend, or discontinue the Platform at any time with reasonable notice. We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

The Platform is currently free. We reserve the right to introduce paid plans in the future, with advance notice to existing users.

9. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by applicable law, Private Referral shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to loss of customers, revenue, or data.

Our total liability to you for any claim arising from your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim (which, during the free period, is $0).

10. Termination

You may close your account at any time by contacting us at support@privatereferral.com. We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.

11. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.
